These terms govern your engagement with Muchen Corporate Services ("Muchen"). By engaging our services or using this website, you agree to these terms. Specific engagements may have additional written terms that take precedence.
Scope of services
We provide corporate secretarial and advisory services to Malaysian Sdn Bhd companies. The specific scope for your engagement is set out in the signed engagement letter. We do not provide legal representation, litigation support, audit, accounting, or tax services.
Fees and payment
Fees are as set out in our published pricing or in your engagement letter. Retainer fees are payable monthly or annually in advance. Pay-per-request work is billed on completion. Late payments may attract a 1.5% monthly interest charge.
Your responsibilities
You agree to provide accurate information, respond to our requests within reasonable time, meet signature deadlines for resolutions, and settle SSM / LHDN / SST payments on time. Muchen is not liable for delays caused by late client responses.
Penalty guarantee
If a statutory filing is missed due to Muchen's fault, we cover the SSM compound. This guarantee does not apply to missed deadlines caused by late or incomplete information from you, acts of government, or circumstances beyond our control. Penalty coverage is capped at 3× the monthly fee for the affected engagement, or RM5,000, whichever is lower.
Confidentiality
All client information is treated confidentially and disclosed only as required by law or as needed to deliver services. This obligation survives termination of the engagement.
Limitation of liability
Except for gross negligence or wilful misconduct, Muchen's total liability for any claim arising from services is limited to fees paid in the 12 months preceding the claim.
Termination
Either party may terminate a retainer with 30 days' written notice. On termination, we hand over all statutory records and assist with transition to your new secretary. Outstanding fees are payable on termination.
Governing law
These terms are governed by Malaysian law. Disputes are subject to the exclusive jurisdiction of the Malaysian courts.
